Morgan Menkul Değerler A.Ş.'nin (" Şirket ") faaliyet izninin iptal edilmesi amacıyla Sermaye Piyasası Kurulu'na (" SPK ") başvuruda bulunacak olmasına ilişkin olarak daha önce yapılan duyuru kapsamında, kamuoyunda oluşabilecek tereddütlerin giderilmesi ve söz konusu sürecin kapsamının açıklığa kavuşturulması amacıyla aşağıdaki açıklamanın yapılmasına ihtiyaç duyulmuştur.Şirket, 3 Temmuz 2015 tarihinden itibaren herhangi bir sermaye piyasası faaliyeti yürütmemekte ve müşterilere yatırım hizmet ve faaliyeti veya yan hizmet sunmamaktadır. Bu nedenle, Şirket'in faaliyet izninin iptal edilmesine yönelik olarak başlatılan süreç, esas itibarıyla uzun süredir fiilen herhangi bir faaliyeti bulunmayan Şirket'in mevcut hukuki statüsünün bu fiili durumla uyumlu hale getirilmesine yöneliktir ve ilgili konuya ilişkin karar geçtiğimiz yıllar içerisinde SPK ile yapılan görüşmeler neticesinde alınmıştır. Bu çerçevede ilgili kararın ülkemizdeki güncel gelişmelerle herhangi bir ilgisi bulunmamaktadır.Ayrıca, SPK'ya yapılacak başvurunun ve Şirket'in aracı kurum statüsünün sona ermesinin JPMorgan Chase grubunun Türkiye'de yürütülen diğer faaliyetlerinin sona ermesi, sınırlandırılması veya Türkiye'den çekilmesi anlamına gelmediğini özellikle belirtmek isteriz.Nitekim, Şirket ile JPMorgan Chase Bank, N.A., Merkezi Columbus, Ohio, İstanbul Türkiye Şubesi (" JPMorgan İstanbul Şubesi ")  hukuken ayrı kuruluşlar olup, faaliyet izninin iptaline ilişkin süreç yalnızca Şirket'i ilgilendirmektedir. JPMorgan İstanbul Şubesi'nin Türkiye'de yürüttüğü bankacılık faaliyetleri söz konusu süreçten herhangi bir şekilde etkilenmemekte olup, JPMorgan İstanbul Şubesi Türkiye'deki faaliyetlerine mevcut şekliyle ve kesintisiz olarak devam edecektir. JPMorgan İstanbul Şubesi yakın zaman Türkiye'deki bankacılık faaliyetlerini büyütme kararı almış olup, bu yönde gerekli çalışmalar ilgili yasal otoriteler ile koordineli bir biçimde devam etmektedir.Dolayısıyla, daha önce yayımlanan duyuru, JPMorgan Chase grubunun Türkiye'deki faaliyetlerinin sınırlandırılmasına veya Türkiye'den çıkışına ilişkin olmayıp, yalnızca uzun süredir hiçbir faaliyeti bulunmayan Şirket'in aracı kurum faaliyet izninin iptaline yönelik süreçle sınırlıdır.ADDITIONAL DISCLOSURE REGARDING THE CANCELLATION OF THE OPERATING LICENSE OF J.P. MORGAN MENKUL DEĞERLER A.Ş.
Further to the previous disclosure regarding J.P. Morgan Menkul Değerler A.Ş.'s (the " Company ") intention to submit an application to the Capital Markets Board of Türkiye (the " CMB ") for the cancellation of its operating license, we consider it appropriate to make the following statement in order to address any questions that may arise among the public and to clarify the scope of this process.
The Company has not conducted any capital markets activities or provided any investment services and activities or ancillary services to clients since 3 July 2015. Accordingly, the process initiated for the cancellation of the Company's operating license is essentially intended to align the Company's current legal status with the factual position, given that the Company has not carried out any activities for a considerable period of time. The relevant decision was taken following discussions with the CMB over the past several years. In this respect, the decision is entirely unrelated to any recent developments in Türkiye.
We would also like to emphasize that the application to be submitted to the CMB and the termination of the Company's status as a brokerage firm do not mean that the JPMorgan Chase group will cease or restrict its other activities in Türkiye or withdraw from Türkiye.
In particular, the Company and JPMorgan Chase Bank, N.A., Merkezi Columbus, Ohio, İstanbul Türkiye Şubesi (" JPMorgan Istanbul Branch ") are legally separate entities, and the process concerning the cancellation of the operating license relates solely to the Company. The banking activities conducted by JPMorgan Istanbul Branch in Türkiye are not affected by this process in any way, and JPMorgan Istanbul Branch will continue its operations in Türkiye in their current form and without interruption. JPMorgan Istanbul Branch has recently decided to expand its banking activities in Türkiye, and the necessary preparations in this regard are ongoing in coordination with the relevant regulatory authorities.
Accordingly, the previously published disclosure does not concern any restriction of the JPMorgan Chase group's activities in Türkiye or its withdrawal from Türkiye. It relates solely to the process for the cancellation of the Company's brokerage firm operating license, given that the Company has not conducted any activities for a considerable period of time.
