Şirketimizin paylarının ilk halka arzından elde ettiği fona ilişkin izahname ve ekinde kamuya duyurulan fon kullanım yeri raporunda tamamı "yurt içi ve yurt dışı yeni GES ve RES tesislerin kurulumu ve satın alınması" olarak belirtilen fon kullanım yerinin "araç muayene istasyonu kurulumu" olarak değiştirilmesi talebimiz, Kurul'un 23.09.2026 tarih ve 61/1741 sayılı toplantısında değerlendirilmiştir.
Kurul'un 06.10.2026 tarihli E-29833736-110.99-99193 sayılı yazısında; talebimizin söz konusu fonun tamamının yatırımcıların yatırım kararına esas aldığı izahname ekindeki fon kullanım yeri raporunda belirtilen yenilenebilir enerji yatırımlarından tamamen farklı bir alanda kullanılacak olması dikkate alınarak 6362 sayılı Sermaye Piyasası Kanunu'nun 1 inci maddesi çerçevesinde yatırımcıların hak ve menfaatlerinin korunmasını teminen:  Fon kullanım yeri değişikliği kararının Şirketimizin yapılacak ilk genel kurul toplantısında gündeme ayrı bir madde olarak eklenmesi ve ortakların onayına sunulması ve Şirketimiz paylarının ilk halka arzından elde edilen fondan, yeni kullanım yerine yönelik yapılacak harcamaların, genel kurul tarafından onaylanmasından sonra yapılması şartıyla olumlu karşılanmasına, karar verildiği belirtilmiştir.

Saygılarımızla.Our request to change the intended use of the proceeds obtained from the initial public offering of our Company's shares, which was stated in the prospectus and the publicly disclosed report on the use of proceeds attached thereto entirely as "the establishment and acquisition of new domestic and international Solar Power Plants (SPPs) and Wind Power Plants (WPPs)", to "the establishment of a vehicle inspection station" was evaluated at the Board's meeting dated 23 September 2026 and numbered 61/1741.
In the Board's letter dated 6 October 2026 and numbered E-29833736-110.99-99193, it was stated that, considering that our request would result in the entirety of such proceeds being used in an area completely different from the renewable energy investments specified in the report on the use of proceeds attached to the prospectus, on which investors based their investment decisions, and in order to protect the rights and interests of investors pursuant to Article 1 of Capital Markets Law No. 6362, our request was approved subject to the following conditions:
The resolution regarding the change in the intended use of the proceeds shall be included as a separate agenda item at the first General Assembly meeting of our Company and submitted to the shareholders for approval; and any expenditures from the proceeds obtained from the initial public offering of our Company's shares for the new intended use shall only be made after such change has been approved by the General Assembly.
